All website designs, layouts, graphics, content, code, configurations, funnels, forms, automations, domains, Google Business Profile integrations, Google Maps integrations, professional email configurations, CRM setups, SEO configurations, and related digital assets developed by Morante Digital Systems remain the exclusive property of Morante Digital Systems until full payment has been received.
Project Access
Clients may be provided with demonstrations, previews, temporary access, or staging environments during the development process.
Administrative ownership, transfer of accounts, credentials, source files, domain control, hosting control, CRM ownership, and other final project assets will not be transferred until the project balance has been paid in full.
Payments
A signed agreement, invoice, proposal, estimate, or written approval through email, text message, or electronic communication constitutes authorization to begin work.
All deposits and payments made toward a project are non-refundable once work has commenced.
Intellectual Property
Until final payment is received:
- Website designs remain the intellectual property of Morante Digital Systems.
- Custom content remains the intellectual property of Morante Digital Systems.
- Marketing systems remain the intellectual property of Morante Digital Systems.
- Automations, workflows, funnels, forms, and CRM configurations remain the intellectual property of Morante Digital Systems.
Upon receipt of full payment, ownership of the completed project may be transferred to the client unless otherwise stated in writing.
Suspension of Services
Morante Digital Systems reserves the right to suspend development, hosting, maintenance, support, website publication, domain management, email services, CRM services, or related services if invoices remain unpaid.
Client Responsibilities
The client is responsible for providing accurate business information, logos, content, images, approvals, and required access credentials in a timely manner.
Project delays caused by missing information may affect delivery timelines.
Limitation of Liability
Morante Digital Systems is not responsible for losses resulting from third-party service outages, hosting failures, domain registrar issues, search engine algorithm changes, email provider interruptions, or circumstances beyond reasonable control.
Acceptance
By approving a proposal, paying an invoice, signing an agreement, or requesting project work to begin, the client acknowledges and agrees to these terms.
